1. Introduction and Acceptance of Terms
These Terms and Conditions govern the relationship between Arthveda Insights Private Limited ("Company", "we", "us", or "our") and the client ("Client", "you", or "your") regarding the professional services provided. By engaging our services, you agree to be bound by these terms.
2. Description of Services
Arthveda Insights provides specialized LIHTC (Low-Income Housing Tax Credit) compliance support services, including but not limited to: Move-In (MI) Review, Annual Recertification (AR) Review, LIHTC Compliance Oversight, and related file review or advisory activities tailored for property management firms and CPA offices.
3. No Professional Advice Disclaimer
The services provided by Arthveda Insights are for compliance support and administrative review only. Nothing in our reports, communications, or consultations constitutes legal, tax, or investment advice. Specific legal or tax questions should be directed to licensed professionals in those fields.
4. Client Responsibilities
Clients are solely responsible for the accuracy, completeness, and timeliness of all data, files, and information provided to us. We rely on the information provided by you and do not independently verify its authenticity beyond the scope of a standard compliance review.
5. Confidentiality and Data Protection
We are committed to maintaining the confidentiality of all Non-Public Personal Information (NPI). While we employ standard security measures to protect data during transmission and storage, our liability for data breaches is limited to the extent permitted by law, especially concerning third-party tool vulnerabilities.
6. Intellectual Property
All methodologies, templates, website content, and proprietary systems used by Arthveda Insights remain our sole intellectual property. Clients are granted a limited license to use deliverables solely for their internal compliance purposes as intended by the scope of service.
7. Limitation of Liability
Arthveda Insights does not guarantee specific audit outcomes, regulatory approvals, or the absence of future compliance issues. Our liability is strictly limited to the professional fees paid for the specific service in question. We are not responsible for any indirect or consequential damages.
8. Payment, Invoicing, and Cancellation
Invoicing terms and payment schedules will be defined in individual engagement letters. Cancellation of services must be provided in writing. Completed reviews are non-refundable. Late payments may be subject to administrative interest charges.
9. Third-Party Tools and Links
Our services and website may utilize or link to third-party tools (e.g., file sharing portals). Use of these tools is subject to their own respective terms and privacy policies. We are not responsible for the functionality or safety of third-party platforms.
10. Governing Law and Dispute Resolution
These terms are governed by the laws of India. Any disputes arising out of these terms or services provided shall be subject to the exclusive jurisdiction of the competent courts in Surat, Gujarat, India.
11. Changes to Terms
Arthveda Insights reserves the right to modify these Terms and Conditions at any time. Significant changes will be posted on our website or communicated directly. Continued use of services after such modifications constitutes acceptance of the new terms.
